1. Introduction and Acceptance
These Terms & Conditions ("Terms," "Agreement") constitute a legally binding contract between you and Halen Technologies Inc., a Delaware corporation doing business as "Halen" ("Halen," "we," "us," or "our"), governing your access to and use of all services, features, applications, and platforms operated by Halen, including:
- Ride-hailing and passenger transportation services
- Food, grocery, and retail delivery services
- Flight search and booking services
- Vacation rental listing and booking services
- Driver, courier, and service provider operations
- Our websites, mobile applications, and related digital properties (collectively, the "Services")
1.1 Who These Terms Apply To
These Terms apply to all individuals who access or use the Services, including:
- (a) Riders and passengers requesting transportation
- (b) Customers placing food, grocery, or retail delivery orders
- (c) Travelers searching, booking, or managing flight reservations
- (d) Vacation rental guests and hosts listing or booking properties
- (e) Drivers, couriers, and independent service providers operating on the platform
- (f) Visitors browsing our websites or mobile applications
- (g) Business customers and corporate account holders
1.2 Related Policies
These Terms are to be read alongside the following policies, which are incorporated by reference:

2. Eligibility and Account Registration
2.1 Age and Eligibility Requirements
To create a Halen account and use the Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract in your jurisdiction
- Not be barred from using the Services under applicable law
- Have a valid payment method on file (for transactional services)
Halen does not knowingly permit individuals under 18 to create accounts or use the Services. If we discover that a user is under 18, we will immediately suspend the account and delete associated personal information in accordance with our Privacy Policy.
2.2 Account Registration
When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials (username and password) secure and confidential
- Immediately notify Halen of any unauthorized use of your account at [email protected]
- Accept responsibility for all activities that occur under your account
2.3 One Account Per User
Each user may maintain only one personal Halen account. Creating duplicate or fraudulent accounts, or attempting to circumvent a prior account suspension or termination, violates these Terms and may result in permanent platform bans.
2.4 Business and Corporate Accounts
Businesses and organizations may register corporate accounts subject to execution of a separate Halen Business Agreement. The individual registering a corporate account represents and warrants that they have the authority to bind the organization to these Terms.
3. Description of Services
Halen operates a multi-service technology platform. Halen is a technology intermediary, not a transportation carrier, delivery company, airline, or property management company. Halen connects users with independent third-party service providers — including independent drivers, couriers, airlines, and vacation rental hosts — and does not itself provide transportation, delivery, air travel, or lodging services.

4. User Obligations and Conduct
4.1 General Conduct Standards
All users of the Halen platform agree to:
- Use the Services only for lawful purposes and in compliance with all applicable laws
- Treat all other users with respect and dignity
- Not harass, discriminate against, threaten, or harm any other user or service provider
- Provide accurate information in all transactions, bookings, and communications
- Not use the Services for any fraudulent, deceptive, or misleading purpose
- Not attempt to reverse-engineer, decompile, or circumvent Halen's platform security
- Not scrape, crawl, or programmatically access Halen's data without written authorization
4.2 Prohibited Uses
The following activities are strictly prohibited on the Halen platform:
- Creating fake accounts, ratings, or reviews
- Manipulating pricing, surge calculations, or dynamic fee systems
- Soliciting personal contact information from other users outside of the platform
- Using the platform to transport, deliver, or facilitate illegal goods or substances
- Damaging, vandalizing, or destroying property belonging to other users or service providers
- Engaging in any form of discrimination based on race, color, religion, national origin, disability, sex, gender identity, sexual orientation, age, or any other protected characteristic
- Attempting to gain unauthorized access to Halen's systems or other users' accounts
- Impersonating any person, driver, courier, host, or Halen representative
4.3 User Ratings and Feedback
Halen operates a two-way rating system. You agree to:
- Submit honest and accurate ratings and reviews based on your genuine experience
- Not manipulate the rating system through fake reviews, incentivized ratings, or coordinated review efforts
- Acknowledge that Halen may deactivate accounts that fall below minimum rating thresholds
5. Payments, Fees, and Refunds
5.1 Pricing and Fare Calculation
Prices for Halen Services are determined dynamically based on demand, time, distance, location, and applicable surcharges. By requesting a Service, you agree to pay the quoted fare including any applicable:
- Base fares, per-mile, and per-minute charges (ride-hailing and delivery)
- Surge pricing during periods of high demand
- Service fees and platform fees
- Applicable taxes, tolls, airport fees, and surcharges
- Booking fees for flight and vacation rental services
- Gratuity (optional for delivery and ride-hailing; non-refundable once submitted)
5.2 Authorized Payment Methods
Halen accepts payment through credit cards, debit cards, Halen Credits, and other methods made available in the app. By adding a payment method, you authorize Halen to charge that method for all Services requested under your account. All payment information is processed by our PCI-DSS compliant third-party payment processors; Halen does not store raw card numbers.
5.3 Cancellations and Refunds

Refunds, where applicable, will be returned to the original payment method within 5–10 business days, subject to your financial institution's processing times.
5.4 Disputed Charges
If you believe a charge is incorrect or unauthorized, contact Halen Support within 30 days of the charge date. Initiating a chargeback with your financial institution without first contacting Halen may result in account suspension pending investigation.
5.5 Promotional Credits and Referral Rewards
Halen may offer promotional credits, referral bonuses, or discounts at its discretion. Credits are non-transferable, have no cash value, and expire as specified in the applicable promotion. Halen reserves the right to modify, revoke, or expire promotional credits at any time if it suspects abuse or fraud.
6. Ride-Hailing Terms
6.1 Nature of Transportation Services
Halen provides a technology platform that connects riders with independent driver-partners. Drivers are independent contractors, not Halen employees. Halen does not guarantee the availability of drivers in any given area or at any given time.
6.2 Rider Responsibilities
- Riders must be ready at the designated pick-up location at the confirmed time
- All occupants must comply with applicable seatbelt and car seat laws
- Riders may not request transportation for illegal purposes or carry prohibited items
- Riders may not bring animals (other than certified service animals) without the driver's consent
- Riders are responsible for any damage caused to a driver's vehicle and may be charged a cleaning or damage fee of up to $250 depending on severity
- Consumption of alcohol or illegal substances in vehicles is prohibited
7. Delivery Services Terms
7.1 Order Accuracy and Merchant Responsibility
Halen is not responsible for the quality, safety, or accuracy of items prepared by merchants. Issues related to incorrect or missing items, food quality, or food safety should first be raised with Halen Support.
7.2 Delivery Estimates
Estimated delivery times are provided as guidance only and are not guaranteed. Delivery times may be affected by merchant preparation time, courier availability, traffic, weather, and other factors outside Halen's control.
7.3 Age-Restricted Deliveries
Delivery of alcohol, tobacco, or other age-restricted products requires age verification at the point of delivery. Customers must present a valid government-issued photo ID. Couriers are authorized to refuse delivery if age cannot be verified. Halen will not issue refunds for refused age-restricted deliveries where the customer failed to provide valid identification.
7.4 Undeliverable Orders
If a delivery cannot be completed due to the customer's unavailability, incorrect address, or inaccessible location, Halen may charge a partial or full order fee depending on the circumstances.
8. Flight Booking Terms
8.1 Halen as a Booking Agent
For flight bookings, Halen acts solely as a booking agent facilitating reservations with airlines through Global Distribution Systems (GDS). Halen is not an airline and does not operate aircraft. The contract of carriage is between you and the operating airline.
8.2 Traveler Information Accuracy
You are solely responsible for ensuring that all traveler information — including full legal name, date of birth, passport number, and known traveler numbers — exactly matches the traveler's government-issued identification. Errors in traveler information may result in denied boarding.
8.3 Government-Mandated Data Sharing
For international flights, you acknowledge and consent that Halen is legally required to transmit Advance Passenger Information (API) and Passenger Name Records (PNR) to U.S. Customs and Border Protection (CBP) and relevant foreign government authorities. This data sharing is mandated by law and cannot be opted out of for international travel bookings.
8.4 Schedule Changes and Cancellations
Airlines may change, delay, or cancel flights at any time. For airline-initiated cancellations, refund eligibility is determined by the airline's policies. Halen will assist in processing refund requests but cannot guarantee airline reimbursement outcomes.
9. Vacation Rental Terms
9.1 Halen as a Marketplace
Halen provides a marketplace platform connecting vacation rental hosts with guests. Halen is not a property owner, landlord, or innkeeper with respect to any listed property. The rental agreement is between the guest and host.
9.2 Guest Obligations
- Guests must accurately represent the number and identity of all occupants, including minors
- Guests must comply with all house rules established by the host
- Guests must not exceed the maximum occupancy disclosed in the listing
- Guests are responsible for any damage to the property during their stay
- Guests must not hold unauthorized events or parties unless explicitly permitted by the host
- Guests must vacate the property by the stated checkout time
9.3 Host Obligations
- Hosts must ensure listings accurately describe the property, amenities, location, and house rules
- Hosts must disclose any surveillance devices (cameras, smart doorbells) in common areas in the listing
- Hosts are strictly prohibited from placing recording devices in private areas (bedrooms, bathrooms, or changing areas)
- Hosts must comply with all applicable local short-term rental laws, permits, and tax requirements
- Hosts must maintain the property in a safe, clean, and habitable condition
- Hosts must not discriminate against guests on the basis of any protected characteristic
9.4 Security Deposits and Damage Claims
In the event of damage, hosts must submit a damage claim through Halen's Resolution Center within 72 hours of guest checkout with supporting photographic evidence. Guests will be notified and given an opportunity to respond. Halen's Resolution Center decision is final and binding, subject to these Terms.
9.5 Occupancy Taxes
In jurisdictions where Halen acts as a tax collection intermediary, occupancy taxes will be automatically calculated, collected from guests, and remitted to the relevant taxing authority by Halen. In other jurisdictions, hosts are solely responsible for collecting and remitting applicable occupancy taxes.
10. Driver and Courier Partner Terms
10.1 Independent Contractor Status
Drivers and couriers who access the Halen platform are independent contractors, not employees, agents, joint venturers, or partners of Halen. As independent contractors, drivers and couriers:
- Are free to set their own hours and work for other platforms or businesses
- Are responsible for all costs associated with operating their vehicles or equipment
- Are responsible for their own tax obligations, including self-employment taxes
- Are not entitled to employee benefits (health insurance, workers' compensation, paid leave)
10.2 Vehicle and Equipment Requirements
Driver partners must maintain vehicles that meet Halen's minimum vehicle standards, including requirements as to age, condition, safety features, and cleanliness. Halen reserves the right to deactivate partners whose vehicles or equipment fail to meet applicable standards.
10.3 Insurance Requirements
Driver partners must maintain personal auto insurance meeting minimum state requirements at all times. Halen provides contingent commercial auto insurance coverage during active trip periods as required by applicable law. Halen's coverage does not replace personal auto coverage.
10.4 Earnings and Payouts
Driver and courier earnings are calculated based on completed trips or deliveries, applicable bonuses, and adjustments for cancellations, disputes, or platform fees. Halen does not guarantee a minimum earnings level. Partners are responsible for maintaining accurate banking information; Halen is not liable for failed payouts due to incorrect banking details.
10.5 Deactivation of Partner Accounts
Halen may deactivate a driver or courier partner account for reasons including:
- Falling below the minimum average rating threshold
- Failure to pass a background check or vehicle inspection
- Violations of community guidelines, safety policies, or these Terms
- Fraudulent activity, including fare manipulation or false trip reporting
- Receipt of verified complaints of harassment, discrimination, or unsafe behavior
11. Intellectual Property
11.1 Halen's Intellectual Property
All content, software, technology, trademarks, logos, trade names, service marks, graphics, user interfaces, and other materials made available through the Services ("Halen Content") are owned by or licensed to Halen Technologies Inc. and are protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or commercially exploit any Halen Content without express written permission.
11.2 License to Use the Services
Subject to your compliance with these Terms, Halen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:
- Sublicense, sell, or resell access to the Services
- Modify, adapt, or create derivative works of the Services or any Halen Content
- Use the Services for any commercial purpose without Halen's written consent
- Systematically download or extract data from the Services (data scraping)
11.3 User-Generated Content
By submitting ratings, reviews, photos, or other content ("User Content") to the Halen platform, you grant Halen a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, and distribute your User Content in connection with operating and promoting the Services.
12. Disclaimers and Limitation of Liability
12.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HALEN DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HALEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. HALEN'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO HALEN IN THE THREE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Halen Technologies Inc., its subsidiaries and affiliates, and their respective officers, directors, employees, agents, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of, or inability to use, the Services
- Your violation of these Terms or any applicable law or regulation
- Your violation of any rights of a third party, including other users or service providers
- Any User Content you submit to the platform
- Your interactions with any driver, courier, host, guest, or other user or service provider
- Any negligent or wrongful conduct by you in connection with the Services
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact Halen at [email protected] with a written description of your dispute and desired resolution. Halen will have 30 days to attempt to resolve the matter informally.
14.2 Binding Arbitration
Except as set forth in Section 14.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
14.3 Class Action Waiver
YOU AND HALEN EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14.4 Exceptions to Arbitration
Either party may bring an individual action in small claims court for disputes within its jurisdiction. Either party may also seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent imminent harm pending arbitration.
14.5 Opt-Out of Arbitration
You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first creating your Halen account. Your opt-out notice must include your name, account email address, and a clear statement that you wish to opt out of arbitration.
15. Termination and Suspension
15.1 Termination by You
You may close your Halen account at any time through the account settings in the Halen app or by contacting customer support. Outstanding balances, active bookings, or in-progress trips must be resolved before or upon account closure.
15.2 Suspension or Termination by Halen
Halen may, in its sole discretion, suspend or terminate your account at any time, with or without notice, for reasons including:
- Violation of these Terms or Halen's policies
- Fraudulent, abusive, or unlawful activity
- Repeated low ratings indicating behavior harmful to other users or service providers
- Failure to pay outstanding balances
- Conduct that threatens the safety or wellbeing of any user, service provider, or third party
- Legal, regulatory, or governmental requirements
15.3 Effect of Termination
Upon termination, your license to use the Services immediately ceases. Sections 11, 12, 13, 14, and 16 of these Terms shall survive termination and remain in full force and effect.
16. Governing Law
These Terms are governed by and shall be construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.
17. Modifications to Terms
Halen reserves the right to modify these Terms at any time. When we make material changes:
- We will revise the "Last Updated" date at the top of these Terms
- For material changes, we will notify you via email or in-app notification at least 30 days before changes take effect
- For changes that materially affect your rights or obligations, we may require your affirmative acceptance
Your continued use of the Services after updated Terms take effect constitutes your acceptance of the revised Terms.
